SEBI Compliance

Complete Transparency. Zero Conflict of Interest . 100% On Your Side

SEBI Registered Investment Adviser in Nagpur

Compliance isn’t just a legal requirement – it is the foundation of trust. At Pranamya Financial Services, we believe you deserve to know exactly who is advising you, what rules govern that advice, and what protects you if something ever goes wrong. As a SEBI Registered Investment Adviser (RIA), every piece of guidance we offer is bound by the SEBI (Investment Advisers) Regulations, 2013 – a framework designed with one purpose: protecting you, the investor.

Whether you are a first-time investor in Nagpur or a seasoned NRI managing wealth across borders, this page gives you full clarity on our regulatory standing, our obligations to you, and your rights as our client – with total transparency and zero fine print.

Why SEBI Compliance Is Important

Because Financial Security Starts with the Right Decisions

Your Advisor's Loyalty Should Be to You, Not Their Wallet

Most people assume their “financial advisor” is working for them. The truth is a large number of advisors in India are actually product distributors – they earn commissions every time they recommend a mutual fund, insurance policy, or investment plan. Their income depends on what you buy, not on how well it performs for you. SEBI registration changes this entirely. As a SEBI RIA, we are legally prohibited from earning commissions. Our only income is the transparent advisory fee you pay us. Your interest is not just our moral priority – it is our legal obligation.

A Certificate on the Wall Means Nothing. A SEBI Registration Number Means Everything.

Anyone can print a business card that says, “Financial Advisor,” “Wealth Coach,” or “Investment Expert” – there is no law preventing it. But advising clients for a fee without SEBI registration is illegal. Our SEBI Registration Number INA000013800 is publicly visible on www.sebi.gov.in in seconds. Before you trust anyone with your family’s financial future, confirm their SEBI registration. If they don’t have one, they are operating outside the law – and outside your protection.

One Size of Advice Does Not Fit All Incomes

A retired government employee  has completely different financial needs than a 30-year-old software professional. SEBI regulations mandate that we conduct a written risk profiling of every client before making a single recommendation. This is not optional – it is the law. We cannot give you generic advice. We must understand your income, your goals, your liabilities, and your risk appetite first. Because advice that fits your neighbor may be completely wrong for you.

The 'Fine Print' in Advisory Agreements Is Your Shield

Before any engagement begins, SEBI mandates that we give you a written Advisory Agreement and a Disclosure Document – in plain language. These documents state exactly what we will do for you, what we will charge, and what conflicts of interest (if any) exist. Many clients of unregistered advisors have no such document. When things go wrong – and sometimes they do – they have no legal ground to stand on. Our clients always do.

Regulation Isn't Red Tape - It's Your Safety Net

SEBI’s oversight of registered advisers means we are subject to annual audits, mandatory record-keeping, ongoing certifications, and regulatory consequences if we ever fall short. This accountability structure exists entirely for your benefit. It means that when we advise you, there is a powerful, independent regulator watching over the quality and honesty of that advice – one you can approach directly if you ever feel let down.

Our Approach to Regulatory Compliance

Compliance as a Culture, Not Just a Checklist

At Pranamya Financial Services, compliance does not begin when the auditor arrives – it is baked into how we work every single day. From the moment a prospective client reaches out, our process is structured around SEBI’s framework: risk profiling before recommendations, written agreements before engagements, and documented advice for every single decision. We don’t treat regulatory requirements as bureaucratic hurdles. We treat them as the minimum standard of respect we owe every client.

As a SEBI Registered Investment Adviser, we operate a strict fee-only model – no commissions, no referral income, no third-party incentives of any kind. What you see in our advisory agreement is exactly what we earn. Every recommendation we make is documented, filed, and maintained as per SEBI’s record-keeping requirements. This means that at any point in our relationship, you can ask us to account for every piece of advice we have ever given you – and we can. That is what genuine compliance looks like.

Who Is This Page For?

Expert Guidance at Every Stage of Life

If you are about to trust someone with your savings, your family’s security, or your retirement – this page is for you. SEBI compliance is not a technicality reserved for large investors. It protects every individual who seeks financial advice, regardless of portfolio size.

First-Time Investors

You are just beginning your wealth-building journey, and you've been approached by multiple "advisors," agents, and online platforms. Before you hand over a single rupee, knowing whether your advisor is SEBI registered is the most important question you can ask. This page tells you exactly what to look for.

Existing Pranamya Clients

You are already working with us, and you deserve to fully understand your rights under our advisory relationship - including what you can expect from us, what fees are permissible, and exactly how to escalate a concern if one ever arises.

Global NRIs

You are managing Indian investments from abroad, which means your ability to physically verify and monitor your advisor is limited. SEBI registration is your strongest assurance that your Indian financial advisor is accountable to a regulator - even when you are thousands of miles away.

Investors Who Have Been Mis-Sold Products

You have been sold a ULIP, an endowment plan, or an investment product that clearly wasn't suitable for you. You now want to work with someone who cannot legally do the same. SEBI's framework makes mis-selling both a regulatory offence and a formally grievable matter.

Business Owners & HNIs

Your financial decisions involve larger sums and greater complexity - business succession, key person insurance, corporate treasury management. For decisions at this scale, working with a SEBI registered advisor isn't just wise - it ensures every recommendation is documented, accountable, and legally defensible.

A SEBI Registered Investment Adviser is a professional registered with the Securities and Exchange Board of India under the SEBI (Investment Advisers) Regulations, 2013. Unlike a mutual fund distributor or insurance agent - who earns commissions and is therefore incentivized to sell - a SEBI RIA charges only a transparent advisory fee and is legally required to act as a fiduciary, meaning your interest must come first at all times. Pranamya Financial Services holds SEBI RIA registration number INA000013800.

The term "financial advisor" is used loosely in India and has no legal protection. Anyone can call themselves one. A SEBI RIA, however, is a regulated entity with mandatory qualifications, annual audits, fee caps, and a legal fiduciary duty. A mutual fund distributor earns commission income - often without disclosing it - and is not legally required to recommend what is best for you. A SEBI RIA earns only your advisory fee and is legally prohibited from earning commissions. The difference in loyalty that creates is significant.

It is simple - and we encourage you to do it. Visit www.sebi.gov.in, navigate to "Intermediaries / Market Infrastructure Institutions," and search for our registration number INA000013800 or the name "Pranamya Financial Services." You will see our active registration, registration date, and category. If any advisor asks you to trust them without verifying - that itself is a warning sign.

"Free" advice is never actually free. When a distributor recommends a mutual fund, they earn a trail commission of 0.5% to 1% of your investment every year — permanently, as long as you stay invested. On a ₹50 lakh portfolio, that is ₹25,000 to ₹50,000 per year flowing to the distributor, invisibly. Over 20 years, that compounds significantly - and comes directly from your returns. Our advisory fee is transparent, capped by SEBI, and declared upfront. You know exactly what you pay. And you get advice that earns nothing from the products it recommends.

No - and any advisor who claims their SEBI registration guarantees returns is misrepresenting what registration means. SEBI registration guarantees that the advice you receive is honest, unbiased, documented, and governed by a regulatory framework. It does not guarantee market outcomes. Markets carry inherent risk. What registration guarantees is that the advice guiding your decisions is governed by law - not by the advisor's commission income.

It is straightforward. You can click the "Contact Us" button on this page, send us an email at hrushikesh@pranamya.in, or call us directly at +91 93700 07770. Whether you want to review our Disclosure Document, understand our fee structure, or simply ask what SEBI registration actually means for you - we are happy to walk you through it, without pressure and without a sales pitch.
